TERMS AND CONDITIONS Freebies Rewards Program - Western Australia
Applying for membership 1. Information on how to become a member of the Freebies Reward Program (the "Program") and gifts form part of these Terms and Conditions. By applying for membership to the Program, a participant is deemed to accept and agrees to be bound by these Terms and Conditions. 2. The Program Administrator may revise these Terms and Conditions from time to time without notice to participants. Since participants are bound by the most current version of these Terms and Conditions, a participant should periodically check the Terms and Conditions. A participant's continued membership to the Program following the posting of any changes to the Terms and Conditions constitutes acceptance of those changes. 3. Membership to the Program is free and only open to Australian residents aged 18 years or older. 4. To apply for membership to the Program, an eligible participant must attend a shopping centre participating in the Program and visit a FREEBIES machine ("Reward Machine"). An eligible participant must then follow the instructions on the Reward Machine to provide the required information (which may include, but is not limited to, their full name, age, residential address, telephone number, current and valid email address. 5. The Program Administrator may refuse any application for membership in their sole discretion. An eligible participant who completes the application process in the manner required and whose application is accepted will then be issued a temporary membership card, which can be used immediately until a permanent membership card is issued. A permanent membership card will be either mailed to the eligible participant at their nominated address or available for collection from Centre Management and/or Customer service desk within the participating shopping centre. 6. Incomplete, ineligible or incomprehensible applications will be deemed invalid. No responsibility will be taken for lost, late or misdirected applications. 7. Each eligible participant is limited to one membership of the Program only in each shopping centre participating in the Program. Any subsequent applications received from an eligible participant after their first membership application is received will be deemed invalid. 8. Membership cards are not credit or charge cards, are not transferable or redeemable for cash, and remain the property of the Program Administrator. A participant must immediately notify the Program Administrator of a lost or stolen membership card. The Program Administrator is not liable for any delay in replacing a membership card or for any unauthorised use of a membership card. 9. Participants can only apply for membership in their own name. The Program Administrator and participating shopping centres reserve the right to request a participant produce (within the requested time) appropriate photo identification or other documentation (to the Program Administrator or participant retailer's satisfaction, at their sole discretion) in order to confirm their identity, age, residential address, eligibility to apply for Program membership, and any information submitted by the participant in applying for membership to the Program, before issuing a membership card and admitting the participant into the Program. If the documentation required by the Program Administrator or participating shopping centre's is not received by the Program Administrator or participating shopping centre or a participant's details have not been verified or validated to the Program Administrator's or a participating shopping centre's satisfaction within the time requested, the participant will not be issued a membership card and will not be admitted to the Program. Membership cards will only be issued following any participant validation and verification that the Program Administrator or participating shopping centres require in their sole discretion. 10. The Program Administrator and a participating shopping centre may terminate or suspend any persons membership of the Program without in their sole discretion and without notice for any reason including, without limitation, if the participant: fails to comply with these Terms and Conditions; abuses any privilege accorded to the participant under the Program; supplies any misleading information or makes any misrepresentations to the Program Administrator or to any participating shopping centre in connection with the Program; does not use his or her membership card for a period of 12 months; dies; or becomes bankrupt. 11. A participant may terminate his or her membership to the Program at any time by giving written notice to the Program Administrator at the address set out in Condition 36 or by following the instructions provided at the Reward Machine. 12. The Program Administrator reserves the right to verify the validity of membership applications and reserves the right to disqualify any participant for tampering with the application process or for submitting an application which is not in accordance with these Terms and Conditions, or if the participant is engaged in any unlawful or other improper misconduct calculated to jeopardise the fair and proper conduct of the Program. The Program Administrator's legal rights to recover damages or other compensation from such an offender are reserved.
Earning membership points 13. A predetermined number of membership points (to be determined by the Program Administrator in its sole discretion) will be awarded to a participant when they attend the participating shopping centre, visit the Reward Machine and scan their membership card in the manner required. A participant will only earn membership points once per day, regardless of how many times on a given day they attend the participating shopping centre, visit the Reward Machine and scan their membership card (unless otherwise expressly stated on a particular Reward Machine). 14. The number of membership points earned will be displayed on the Reward Machine once the participant scans their membership card. Each participant may also be offered the ability to check the number of membership points earned by password protected access to a web based portal. 15. From time to time, bonus membership points may be issued in accordance with individual advertised offers, promotions or competitions at each participating shopping centre. Program members who enter advertised promotions and competitions or otherwise take advantage of advertised offers, must do so in accordance with the applicable terms and conditions as stated on the Reward Machine or any applicable web based portal. 16. Membership points and the rights they confer cannot be sold, transferred, assigned or otherwise dealt with except in accordance with these Terms and Conditions. Membership points have no cash or monetary value. The Program Administrator may, in its sole discretion, determine to cancel a participant's membership points if such points have not been used or redeemed for a continuous period of 12 months. 17. In addition to deductions for gifts redeemed (as outlined below), the Program Administrator will deduct from the membership points balance in a participant's account any membership points credited to the participant's account due to any error.
Redeeming gifts 18. Once a participant has accumulated a certain number of membership points, they will be entitled to redeem their membership points for various gifts from participating retailers at participating shopping centres. Each time a participant attends a participating shopping centre, visits the Reward Machine and scans their membership card in the manner required, they will be notified on the Reward Machine of what gift or gifts they may redeem based on the number of membership points in the participant's account at that time. To redeem a gift, a participant must follow the instructions on the Reward Machine to select their requested gift/s. A voucher for gift redemption will then be immediately printed from the Reward Machine. The voucher will be issued in the participant's name. The number of membership points required to redeem the selected gift will then be deducted from the membership points balance of the participant's Program account. 19. To collect a gift, a participant must then take the issued voucher to the participating retailer or participating shopping centre customer service desk or centre management stated on the voucher and surrender the voucher to staff at the participating retailer, participating shopping centre customer service desk or centre management who will then issue the participant with the gift. Not all gifts/offers/instant major prizes over $100.00 are available to the Centro centre's retailers and/or employees. 20. Vouchers are subject to prevailing terms and conditions of use (including expiry dates) and are not replaceable if lost or stolen. A voucher will be declared void if stolen, forged, mutilated or tampered with in any way. 21. A gift may be subject to additional terms and conditions of a participating retailer. All warranty claims in respect of any gift (if applicable) must be directed toward the applicable manufacturer and not the Program Administrator or participating shopping centre. 22. The Program Administrator has granted participating shopping centres the right to request a participant to produce appropriate photo identification and their Program membership card in order to confirm that they are the person named on a voucher, before issuing a gift. If adequate identification is not received by the participating shopping centre or participating retailer to their satisfaction, the participant will not be issued the gift. 23. Gifts must be taken as offered and cannot be varied. Gifts are not transferable or exchangeable and cannot be taken as cash. The Program Administrator or participating shopping centre accepts no responsibility for any tax implications that may arise from the receipt of gifts. Independent financial advice should be sought. 24. All gifts are subject to availability. If any gift or any element of a gift becomes unavailable for any reason beyond the Program Administrator's, participating shopping centre's or a participating retailer's reasonable control, the Program Administrator, participating shopping centre or participating retailer reserves the right to award a similar gift or gift element of equal or greater value in lieu.
General 25. The Program Administrator's decision in relation to all aspects of the Program is final and no correspondence will be entered into. 26. The Program Administrator, participating shopping centres and the participating retailers and their associated agencies and companies shall not be liable for any loss (including, without limitation, indirect or consequential loss), damage, personal injury or death which is suffered or sustained (including but not limited to that arising from any person's negligence) in connection with their membership to the Program or their use of a gift, except any liability that cannot be excluded by law (in which case that liability is limited to the minimum allowable by law). 27. Any tax, liability or duty arising from a participant's membership to or participation in the Program is the responsibility of each participant. 28. Participating retailers do not have any authority, express or implied, to make any representation, warranty or statement on behalf of the Program Administrator and the Program Administrator accepts no liability in respect of such representations, warranties or statements. 29. Caution: any attempt to cause malicious damage or interference with the normal functioning of the Reward Machine, the Program Administrator's or participating shopping centre's website or the information on the website, or to otherwise undermine the legitimate operation of the Program may be a violation of criminal and civil laws and should such an attempt be made, whether successful or not, the Program Administrator reserves the right to seek damages to the fullest extent permitted by law. If the Program Administrator suffers loss or incurs any costs in connection with any breach of these Terms and Conditions or any other legal obligation by a participant, the participant agrees to indemnify the Program Administrator for those losses, damages and costs. 30. The Program Administrator or participating shopping centres are not responsible for any problems or technical malfunction of any telephone or network or lines, servers or providers, computer equipment, software, technical problems or traffic congestion on a mobile network, or any combination thereof, or any other technical failures including any damage to a participant's or any other person's mobile handset or computer related to, or resulting from, participation in the Program or the downloading of any materials related to the Program. 31. If for any reason the Program is not capable of running as planned because of infection by computer virus, bugs, tampering, unauthorised intervention, technical failures or any other causes beyond the reasonable control of the Program Administrator which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, the Program Administrator reserves the right in its sole discretion to cancel, terminate, modify or suspend the Program. 32. The Program Administrator reserves the right to suspend or terminate the Program at any time without prior notice. The Program Administrator will not be liable for the suspension or termination of the Program on any account whatsoever including (without limitation) for any membership points balance in a participant's account at the time of suspension or termination. 33. The use of any automated software or any other mechanical or electronic means that allows a participant to automatically apply for Program membership, obtain vouchers or claim gifts is prohibited. 34. The Program Administrator will not be responsible for any incorrect, inaccurate or incomplete information communicated in the course of, or in connection with, the Program, if the deficiency is occasioned by any cause outside the reasonable control of the Program Administrator. 35. All membership applications and any copyright subsisting in the applications become and remain the property of the Program Administrator. The Program Administrator collects personal information about a participant to include a participant in the Program and where appropriate award gifts. If the personal information requested is not provided, the participant may not participate in the Program. By participating in the Program, the participant also acknowledges that a further primary purpose for collection of a participant's personal information by the Program Administrator is to enable the Program Administrator to use the information to assist the Program Administrator, participating retailers and participating shopping centres in improving goods and services and to contact the participant in the future with information on special offers or provide the participant with marketing materials via any medium including mail, telephone and commercial electronic messages (SMS (Short Message Service), MMS (Multimedia Message Service), IM (Instant Messaging) and email) or any other form of electronic, emerging, digital or conventional communications channel whether existing now or in the future. The Program Administrator may share information with its Australian related companies or promotional partners (including participating shopping centres and participating retailers) who may contact the participant with special offers in this way. By participating in the Program, the participant agrees that the Program Administrator may use the participant's personal information in this manner. A participant may gain access to, update or correct any personal information by contacting the Program Administrator at the address below. All personal information will be stored at the office of the Program Administrator. A copy of the Program Administrator's Privacy Policy in relation to the treatment of personal information collected is available by contacting the Program Administrator 36. CONDITIONS OF ENTRY FREEBIES REWARD PROGRAM INSTANT WIN PROMOTION - WESTERN AUSTRALIA 1. Information on how to enter and prizes form part of these Conditions of Entry. Entry into this promotion is deemed acceptance of these Conditions of Entry by each entrant. 2. Entry into the promotion is free and only open to Australian residents aged 18 years or older who are existing members or become members of the Freebies reward program for a participating shopping centre (the "Program") in the manner required during the Promotional Period and who have a current and valid temporary or permanent membership card for the Program.The directors and management (and their immediate families) of the Promoter are eligible to enter. The management and employees of participating retailers are eligible to enter. Printers, suppliers, providers and agencies associated with this promotion are eligible to enter the promotion. 3. The promotion commences at 6:00 am (Perth time) on 7/06/2010 and closes at midnight (Perth time) on 6/06/2011 ("Promotional Period"). Each participating shopping centre will conduct its own internal promotion during the Promotional Period as stated on each participating shopping centre's Freebies machine ("Reward Machine") from time to time. All winners will be randomly determined and notified immediately upon scanning their membership card in the manner outlined in Condition 4, and the name and locality of winners of prizes valued at over $250.00 will be notified in writing (SMS or email) within seven (7) days of the winner being notified that they are a winner. All reasonable steps to notify winners of the results will be taken by the Promoter. The Promoter's decision in relation to all aspects of the promotion is final and no correspondence will be entered into. 4. To enter a promotion, eligible entrants must attend a participating shopping centre during the relevant Promotional Period for that shopping centre, visit the Reward Machine and scan their Program membership card in the manner required. The Promoter will have access to the details of the entrant's full name, residential address, current and valid email address and contact telephone number, as provided to the Promoter in the entrant's Program membership application. Eligible entrants will then be immediately notified on the Reward Machine if they have won an Instant Win prize and if so, what prize they have won. 5. Multiple entries into the promotion will be accepted, but generally limited to only one (1) entry per calendar day for each Program member, unless otherwise advertised on the Reward Machine and/or other media at the applicable participating shopping centre ("Visit"). Only one (1) entry accepted per Visit and each entry must be submitted separately and must independently comply with these Conditions of Entry. A member may only enter using their own membership card and may only redeem prizes, offers and vouchers won using their own membership card. Entries must be received during the Promotional Period for the applicable participating shopping centre. Reward Machine entries will be deemed to be accepted at the time of receipt and not at the time of transmission. 6. Instant Win prize winners must follow the instructions on the Reward Machine to select their requested Instant Win prize (if applicable). A voucher for the Instant Win prize will then be immediately printed from the Reward Machine. The voucher will be issued in the eligible entrant's name and/or membership number only. Vouchers will not be available through any other means. 7. To collect an Instant Win prize, an eligible entrant must take the issued voucher to the participating retailer, customer service desk or centre management in the participating shopping centre (as stated on the voucher) and surrender the voucher to staff at the participating retailer, customer service desk or centre management, who will then issue the eligible entrant with their Instant Win prize. The voucher must be an original and photocopies or images of vouchers will not be accepted. 8. Vouchers for an Instant Win prize can only be redeemed once. Any attempt to subsequently use a voucher after the first valid redemption by an eligible entrant will be invalid. Vouchers are subject to prevailing terms and conditions of use (including expiry dates) and must be redeemed by the date stated on the voucher otherwise their prize will be forfeited. Vouchers are not replaceable if lost or stolen. The Promoter accepts no responsibility for late, lost or misdirected vouchers. All warranty claims in respect of prizes must be directed towards the applicable manufacturer or supplier and not the Promoter. 9. There will be up to six (6) participating shopping centres across Western Australia, each awarding its own Instant Win prizes during the Promotional Period. Details and value of the Instant Win prizes for a given promotion will be advertised on the Reward Machine during the Promotional Period at the applicable participating shopping centre. The Instant Win prizes for each participating shopping centre across Western Australia during the Promotional Period will include a combination of one or more of the prize types particularised in detail in the table immediately below ("Instant Win prizes"):

10. The total maximum prize pool value for all Instant Win prizes awarded during the Promotional Period in each participating shopping centre is up to $5,863,200. The total maximum prize pool value in Western Australia is up to $35,179,200.00. All prize values are Recommended Retail Price including GST. 11. The Instant Win prizes must be taken as offered and cannot be varied. An Instant Win prize or any unused portion of an Instant Win prize is not exchangeable or transferable and cannot be taken as cash. The Promoter accepts no responsibility for any variation in prize value. The Promoter accepts no responsibility for any tax implications that may arise from the receipt of an Instant Win prize. Independent financial advice should be sought. 12. If any Instant Win prize or any element of an Instant Win prize becomes unavailable for any reason beyond the Promoter's or a participating retailer's or centre management's (as applicable) reasonable control, the Promoter or participating retailer or centre management's (as applicable) reserves the right to award a similar Instant Win prize or Instant Win prize element of equal or greater value in lieu subject to any written directions made under applicable State legislation. 13. Entrants can only enter in their own name. The Promoter and participating retailers reserve the right to request an entrant produce (within the requested time) appropriate photo identification and Program membership card and any other documentation (to the Promoter's satisfaction, at its sole discretion) in order to determine an entrant's identity, age, residential address and email address, eligibility to enter and claim a prize and any information submitted by the entrant in entering the before issuing a prize. If the documentation required by the Promoter is not received by the Promoter (or its nominated agent) or the entrant or entry has not been verified or validated to the Promoter's satisfaction within the time requested, that entry will be deemed invalid. All prizes will only be awarded following any validation and verification that the Promoter requires in its sole discretion, including confirmation that an entrant is a reward Program member at the participating shopping centre. 14. In the event of any awarded Instant Win prize(s) being unclaimed by midday (Perth time) on 7/6/2011, the Promoter may conduct an unclaimed Instant Win prize draw(s) as are necessary at 6:00 pm (Perth time) on the same date at the applicable individual participating shopping centre in order to distribute any Instant Win prize(s) awarded but unclaimed by that date subject to any written directions given under applicable State legislation. All winners in any unclaimed Instant Win prize draw will be notified in writing (SMS or email). 15. Printing or any other quality control errors will not invalidate an otherwise valid Instant Win prize claim. Unless otherwise due to fraud or ineligibility under these Conditions of Entry all prize claims in excess of any advertised prize pool will be met. Instant Win prize game materials, including the vouchers, are void and ineligible to enter the promotion if stolen, forged, mutilated or tampered with in any way or if such materials fail the Promoter's validation tests in which case they will be deemed void. 16. Instant Win prizes will only be awarded where the Instant Win prize game material fulfil all of the requirements of the Promoter's verification tests and procedures. The verification tests and procedures shall be determined by the Promoter in its absolute discretion. 17. The Promoter, the participating shopping centre owners, the participating retailers and its and their associated agencies and companies shall not be liable for any loss (including, without limitation, indirect or consequential loss), damage, personal injury or death which is suffered or sustained (including but not limited to that arising from any person's negligence) in connection with taking or using any Instant Win prize, except any liability that cannot be excluded by law (in which case that liability is limited to the minimum allowable by law). 18. The Promoter reserves the right to verify the validity of entries and reserves the right to disqualify any entrant: (a) for tampering with the entry process; or (b) for submitting an entry which is not in accordance with these Conditions of Entry; or (c) if the entrant is engaged in any unlawful or other improper misconduct calculated to jeopardise the fair and proper conduct of the promotion. The Promoter's legal rights to recover damages or other compensation from such an offender are reserved. 19. Caution: any attempt, deliberate or otherwise, to damage the Reward Machine or the information on the Reward Machine, to cause malicious damage or interference with the normal functioning of the Reward Machine, or to otherwise undermine the legitimate operation of this promotion may be a violation of criminal and civil laws and should such an attempt be made, whether successful or not, the Promoter reserves the right to seek damages to the fullest extent permitted by law. If for any reason this promotion is not capable of running as planned because of infection by computer virus, bugs, tampering, unauthorised intervention, technical failures or any other causes beyond the reasonable control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this promotion, the Promoter reserves the right in its sole discretion to cancel, terminate, modify or suspend the promotion, subject to any written directions under State legislation. 22. The use of any automated entry software or any other mechanical or electronic means that allows an entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that entrant invalid. 23. The Promoter will not be responsible for any incorrect, inaccurate or incomplete information communicated in the course of, or in connection with, this promotion if the deficiency is occasioned by any cause outside the reasonable control of the Promoter including without limitation technical malfunctions or failures. 24. As a condition of entering this promotion, an entrant consents to the Promoter using the entrant's name, likeness, image and/or voice (including photograph, film and/or recording of the same) in the event that they are the winner, in any media for an unlimited period of time without further notification, remuneration or compensation for the purpose of promoting, publicising or marketing this promotion (including any outcome), and/or promoting any products or services manufactured, distributed and/or supplied by the Promoter. An entrant agrees that, in the event that they are the winner, the entrant will participate in all reasonable promoted activities in relation to the Promotion as requested by the Promoter and its agents. 25. An entry and any copyright subsisting in an entry irrevocably becomes, at the time of entry, the property of the Promoter. The Promoter collects personal information about an entrant to include the entrant in the promotion and where appropriate award prizes. If the personal information requested is not provided, the entrant may not participate in the promotion. By participating in the promotion , each entrant also acknowledges that a further primary purpose for collection of entrants' personal information by the Promoter is to enable the Promoter to use the information to assist the Promoter in improving goods and services and to contact the entrant in the future with information on special offers or provide entrants with marketing materials via any medium including mail, telephone and commercial electronic messages (SMS (Short Message Service), MMS (Multimedia Message Service), IM (Instant Messaging) and email) or any other form of electronic, emerging, digital or conventional communications channel whether existing now or in the future. The Promoter may share information with its Australian related companies or promotional partners, including participating shopping centre owners, who may contact the entrant with special offers in this way. By entering the promotion, an entrant agrees that the Promoter may use the entrant's personal information in this manner. The entrant also agrees that the Promoter may publish or cause to be published the entrant's name and locality in any media as required under the relevant State lottery legislation. CONDITIONS OF ENTRY
FREEBIES REWARD PROGRAM STAFF INCENTIVE PROMOTION �WESTERN AUSTRALIA
1. Information on how to enter and redeem prizes form part of these Conditions of Entry. Entry into this promotion is deemed acceptance of these Conditions of Entry by each entrant. 2. Entry into the Freebies Reward Program Staff Incentive promotion is free and only open to the Promoter�s employees, aged 18 years or older, who are existing members or become members of the Freebies Reward program of a participating shopping centre (the �Program�) in the manner required during the Promotional Period and who have a current and valid temporary or permanent membership card for the Program. The Promoter�s immediate families are ineligible to enter. The management and employees of participating retailers are ineligible to enter the Freebies Reward Program Staff Incentive promotion. Printers, suppliers, providers and agencies associated with this promotion are ineligible to enter the promotion. 3. The promotion commences at 6:00am Western Australia time on 14/07/2010 and closes at midnight Western Australia time on 13/07/2011 (�Promotional Period�). Each participating shopping centre will conduct its own internal promotion during the Promotional Period as stated on each participating shopping centre�s Freebies kiosk (�Kiosk�) and/or other media from time to time. All winners will be randomly determined and notified immediately upon scanning their membership card in the manner outlined in Condition 4. All reasonable steps to notify winners of the results will be taken by the Promoter. The Promoter�s decision in relation to all aspects of the promotion is final and no correspondence will be entered into. 4. To enter this promotion, eligible entrants must declare that they are an employee of the Promoter when prompted during the registration process. Eligible entrants must attend a participating shopping centre during the relevant Promotional Period for that shopping centre, visit the Kiosk and scan their Program membership card in the manner required. The Promoter will have access to the details of the entrant�s full name, residential address, current and valid email address and contact telephone number, as provided to the Promoter in the entrant�s Program membership application. Eligible entrants will then be immediately notified on the Kiosk if they have won an Instant Win prize and if so, what prize they have won. 5. Multiple entries into the promotion will be accepted, but generally limited to only one (1) entry per calendar day for each Program member, unless otherwise advertised on the Kiosk and/or other media at the applicable participating shopping centre (�Visit�). Each entry must be submitted separately and must independently comply with these Conditions of Entry. A member may only enter using their own membership card and may only redeem prizes, offers and vouchers won using their own membership card. Entries must be received during the Promotional Period for the applicable participating shopping centre. Kiosk entries will be deemed to be accepted at the time of receipt and not at the time of transmission. 6. Instant Win prize winners must follow the instructions on the Kiosk to select their requested Instant Win prize (if applicable). A voucher for the Instant Win prize will then be immediately printed from the Kiosk. The voucher will be issued in the eligible entrant�s name and/or membership number only. Vouchers will not be available through any other means. 7. To collect an Instant Win prize, an eligible entrant must take the issued voucher to the participating retailer, customer service desk or centre management in the participating shopping centre (as stated on the voucher) and surrender the voucher to staff at the participating retailer, customer service desk or centre management, who will then issue the eligible entrant with their Instant Win prize. The voucher must be an original and photocopies or images of vouchers will not be accepted. 8. Vouchers for an Instant Win prize can only be redeemed once. Any attempt to subsequently use a voucher after the first valid redemption by an eligible entrant will be invalid. Vouchers are subject to prevailing terms and conditions of use (including expiry dates) and must be redeemed by the date stated on the voucher otherwise their prize will be forfeited. Vouchers are not replaceable if lost or stolen. The Promoter accepts no responsibility for late, lost or misdirected vouchers. All warranty claims in respect of prizes must be directed towards the applicable manufacturer or supplier and not the Promoter. 9. There will be up to six participating shopping centres across Western Australia, each awarding its own Instant Win prizes during the Promotional Period. Details and value of the Instant Win prizes for a given promotion will be advertised on the Kiosk and/or other media during the Promotional Period at the applicable participating shopping centre. The Instant Win prizes for each participating shopping centre across Western Australia during the Promotional Period will include a combination of one or more of the prize types particularised in detail in the table below (�Instant Win prizes�):

10. The total maximum prize pool value for all Instant Win prizes awarded during the Promotional Period in each participating shopping centre is up to $22,500. The total maximum prize pool value in Western Australia is up to $135,000. All prize values are Recommended Retail Price including GST. 11. The Instant Win prizes must be taken as offered and cannot be varied. An Instant Win prize or any unused portion of an Instant Win prize is not exchangeable or transferable and cannot be taken as cash. The Promoter accepts no responsibility for any variation in prize value. The Promoter accepts no responsibility for any tax implications that may arise from the receipt of an Instant Win prize. Independent financial advice should be sought. 12. If any Instant Win prize or any element of an Instant Win prize becomes unavailable for any reason beyond the Promoter�s or a participating retailer�s or centre management�s (as applicable) reasonable control, the Promoter or participating retailer or centre management�s (as applicable) reserves the right to award a similar Instant Win prize or Instant Win prize element of equal or greater value in lieu subject to any written directions made under applicable State legislation. 13. Entrants can only enter in their own name and declare that they are an employee of the Promoter. The Promoter and participating retailers reserve the right to request an entrant produce (within the requested time) appropriate photo identification and Program membership card and any other documentation (to the Promoter�s satisfaction, at its sole discretion) in order to determine an entrant�s identity, age, residential address and email address, eligibility to enter and claim a prize and any information submitted by the entrant in entering the promotion before issuing a prize. If the documentation required by the Promoter is not received by the Promoter (or its nominated agent) or the entrant or entry has not been verified or validated to the Promoter�s satisfaction within the time requested, that entry will be deemed invalid. All prizes will only be awarded following any validation and verification that the Promoter requires in its sole discretion, including confirmation that an entrant is a Reward program member at the participating shopping centre. 14. In the event of any awarded Instant Win prize(s) being unclaimed by midday Western Australia time on 13/10/2011, the Promoter may conduct an unclaimed Instant Win prize draw(s) as are necessary at 6:00pm Western Australia time on the same date at the applicable individual participating shopping centre in order to distribute any Instant Win prize(s) awarded but unclaimed by that date subject to any written directions given under applicable State legislation. All winners in any unclaimed Instant Win prize draw will be notified in writing (SMS or email). 15. Printing or any other quality control errors will not invalidate an otherwise valid Instant Win prize claim. Unless otherwise due to fraud or ineligibility under these Conditions of Entry all prize claims in excess of any advertised prize pool will be met. Instant Win prize game materials, including the vouchers, are void and ineligible to enter the promotion if stolen, forged, mutilated or tampered with in any way or if such materials fail the Promoter's validation tests in which case they will be deemed void. 16. Instant Win prizes will only be awarded where the Instant Win prize game material fulfill all of the requirements of the Promoter's verification tests and procedures. The verification tests and procedures shall be determined by the Promoter in its absolute discretion. 17. The Promoter, the participating shopping centre owners, the participating retailers and its and their associated agencies and companies shall not be liable for any loss (including, without limitation, indirect or consequential loss), damage, personal injury or death which is suffered or sustained (including but not limited to that arising from any person's negligence) in connection with taking or using any Instant Win prize, except any liability that cannot be excluded by law (in which case that liability is limited to the minimum allowable by law). 18. The Promoter reserves the right to verify the validity of entries and reserves the right to disqualify any entrant: (a) for tampering with the entry process; or (b) for submitting an entry which is not in accordance with these Conditions of Entry; or (c) if the entrant is engaged in any unlawful or other improper misconduct calculated to jeopardise the fair and proper conduct of the promotion. The Promoter�s legal rights to recover damages or other compensation from such an offender are reserved. 19. Caution: any attempt, deliberate or otherwise, to damage the Kiosk or the information on the Kiosk, to cause malicious damage or interference with the normal functioning of the Kiosk, or to otherwise undermine the legitimate operation of this promotion may be a violation of criminal and civil laws and should such an attempt be made, whether successful or not, the Promoter reserves the right to seek damages to the fullest extent permitted by law. If the Promoter suffers loss or incurs any costs in connection with any breach of these Conditions of Entry or any other legal obligation by an entrant, the entrant agrees to indemnify the promoter for those losses, damages and costs. 20. The Promoter is not responsible for any problems, delays or technical malfunction of any Kiosk, telephone or network or lines, servers or providers, computer and technical equipment, software, technical problems or traffic congestion on a network, or any combination thereof, or any other technical failures including any damage to entrant's or any other person's computer, telephone or mobile handset or peripherals related to, or resulting from, participation in this promotion. 21. If for any reason this promotion is not capable of running as planned because of infection by computer virus, bugs, tampering, unauthorised intervention, technical failures or any other causes beyond the reasonable control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this promotion, the Promoter reserves the right in its sole discretion to cancel, terminate, modify or suspend the promotion, subject to any written directions under State legislation. 22. The use of any automated entry software or any other mechanical or electronic means that allows an entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that entrant invalid. 23. The Promoter will not be responsible for any incorrect, inaccurate or incomplete information communicated in the course of, or in connection with, this promotion if the deficiency is occasioned by any cause outside the reasonable control of the Promoter including without limitation technical malfunctions or failures. 24. CONDITIONS OF ENTRY 1. Information on how to enter, mechanics of Entry and prizes form part of these Conditions of Entry. Entry into the promotion is deemed acceptance of these Conditions of Entry. Entry is via Internet only. 2. Entry is only open to residents of Australia (Entrants). The directors, management and employees, contractors (and their immediate families) of the Promoter, participating stores, its related entities, printers, suppliers, providers and agencies whom are directly associated with the conduct of this promotion are ineligible to enter the promotion. Immediate families mean parents, siblings, spouse, children and grandparents. 3. Entrants under the age of 18 must first seek the permission of a parent or guardian before entering the Smile Photography Competition. If a winner is under the age of 18, the prize will be awarded to the winner's nominated parent or guardian. 4. The promotion starts at 9:00am (AEST) on 19/08/2010 and ends at 5:00pm (AEST) on 19/09/2010 (Promotional Period). 5. To enter, Entrants must, during the Promotional Period: a. visit the Smile website at www.smilephotos.com.au (Promotional Website) during the Promotional Period; b. fully and correctly complete and submit the online entry form, including providing the Entrant's first name, last name, current and valid email address, mobile phone number or home phone number and address; c. upload a photograph (in jpg format) of an image the Entrant has taken which "makes the Entrant smile"; d. accept the following permissions by ticking the relevant boxes on the online entry form: i) acceptance of the competition Conditions of Entry; ii) confirmation that the photograph was taken by the Entrant and; iii) confirmation that the subject in the photograph gave the Entrant permission to take the photograph and to enter it into the competition; and e. have their photograph accepted as a valid entry. Entrants will be notified in writing (email) if their photograph has been accepted as a valid entry. An entry is not complete and accepted until this step has occurred, (together, an Entry). 6. Where the photo submitted by the Entrant contains the image of a person (the Subject), the Entrant must seek consent from the Subject prior to submitting the Entry. Entrants will be asked to confirm the Subject has given them permission to use their image when they complete the entry form (see clause 5d). 7. Entrants may be awarded a maximum of ten (10) Entries into the promotion in accordance with Condition 5. The decision by the Promoter to accept or reject an Entry is in the Promoter's sole discretion and no correspondence will be entered into. All Finalists will be subject to a public vote based on the Entrant's Entry. The five (5) Finalists which receive the highest number of public votes at the end of the Voting Period will be judged to be the five (5) ‘Smile People Choice Winners' (People's Choice Winning Entries). Chance plays no part in determining the People's Choice Winning Entries. The Finalist Entrants will be notified by telephone on 19/10/2010 and in writing (mail or email) thereafter by the Promoter if their Entry has been selected as one (1) of the People's Choice Winning Entries (People's Choice Winners). The People's Choice Winners will be published on the Promotional Website on 20/10/2010. All reasonable steps to notify the People's Choice Winners of the results of the public vote will be taken by the Promoter. 18. In the event of a tie, the Promoter, at its sole direction, through a decision of the appropriately qualified judging panel, will determine which Finalist will be judged to be the People's Choice Winning Entry in dispute and, if required, the placement of the top five (5) People's Choice Winning Entries. Any tied Finalists and the placement of the top five (5) People's Choice Winning Entries will be judged on the basis of originality, creative merit and the ability to make the judges smile. 19. The People's Choice Winners will each win a cash prize which will be provided to that People's Choice Winner in the form of a cheque made payable to that People' s Choice Winner, as follows: a. First Place: People's Choice Winner which received the highest number of public votes: $4,000.00 cash; b. Second Place: People's Choice Winner which received the second highest number of public votes: $2,000.00 cash; c. Third Place: People's Choice Winner which received the third highest number of public votes: $1,000.00 cash; d. The Promoter shall determine, in its sole discretion, how and to what extent the National Winning Entry and People's Choice Winning Entries (together, the Winning Entries) will be used to promote the Promoter and/or its goods and services. The National Winner and People Choice Winners (together, the Winners) will not receive any further remuneration or compensation for the Promoter's use of their image, likeness, Entry, or participation in the promotion generally. The Promoter (or its agencies) may edit a winning Entry in any way. The Entrant agrees that, in the event they are deemed a Winner, the Entrant will participate in all reasonable promoted activities in relation to the promotion as requested by the Promoter and its agents. 25. By entering this promotion and in the event they are judged to be the National Winner or a Finalist Entrant, Entrants absolutely and unconditionally assign (and agree to use their best endeavours to procure any relevant third parties to absolutely and unconditionally assign) all right, title and interest in all Intellectual Property Rights in their Entry. Each Entrant must, upon request by the Promoter, execute all documents and perform all acts reasonably necessary to vest all Intellectual Property Rights in their Entry in the Promoter. Each Entrant expressly consents pursuant to the Copyright Amendment (Moral Rights) Act 2000 (Commonwealth) to the Promoter having an unfettered right to treat an Entrant's Entry in any manner at its sole discretion, to alter the Entry in any manner and to the Promoter not attributing authorship of the Entry to the winner. 26. Entrants can only enter in their own name. Entrants who provide incorrect, misleading or fraudulent information are ineligible to participate in the promotion and all entries of an Entrant who is deemed by the Promoter to have provided incorrect, misleading or fraudulent information may, at the discretion of the Promoter, be deemed invalid. The Promoter reserves the right to request the Entrant produce (within the requested time) appropriate photo identification or other documentation (to the Promoter's satisfaction, at its sole discretion) in order to confirm the Entrant's identity, age, residential address, eligibility to enter and claim a prize and any information submitted by the Entrant in entering the promotion, before issuing a prize (including confirming consent of an Entrant's parent or legal guardian and the name, age and address of the parent or legal guardian that gave their consent, where an Entrant is under 18 years of age). If the documentation required by the Promoter is not received by the Promoter (or its nominated agent) or an Entrant or entry has not been verified or validated to the Promoter's satisfaction then all the entries of that Entrant will be ineligible and deemed invalid. It is a condition of accepting a prize that a Winner may be required to sign a legal release(s) in a form determined by the Promoter in its absolute discretion. 27.
